Terms of service

These terms are the agreement between Yudo LLC ("Yudo", "we") and the business that uses Yudo ("you"). They also apply to each person who signs in to a business's Yudo, as "Team members" explains. Our privacy policy (getyudo.com/privacy) says how we handle information. It isn't part of these terms, but please read it.

Who you're agreeing with

  • Yudo LLC.
  • The person who accepts these terms on the dashboard confirms they are at least 18 and may agree for the business.

Team members

  • A person who signs in to a business's Yudo agrees, for their own use, to "What we expect from you", "Software", "The iPhone and Android apps" and "Settling disputes".
  • Billing applies to the business only. Team members never pay.
  • The business is responsible for how its team uses Yudo.

What you can expect from us

  • The service. Yudo is software for food costing and kitchen operations, on a phone app and a web dashboard: catalog, recipes and costing, inventory, receipt and invoice reading, tasks, and an AI assistant.
  • We keep improving it. We add, change and remove features.
    • Before a change that substantially reduces what you pay for, or before we stop offering Yudo, we'll tell you at least 30 days ahead, unless security or the law requires faster action.
    • When that happens, we'll give you a copy of your business's information on request, in a common format.
  • Support. Email contact@getyudo.com. We answer as soon as we reasonably can.
  • Availability. We work to keep Yudo running and your information safe, but we can't promise it will always be available or free of errors.

What we expect from you

  • Your account.
    • Sign-in is with Google. Keep your Google account secure.
    • The owner decides who joins the business and what each person can do, and is responsible for activity under the business's account.
    • Each sign-in is for the person it belongs to.
    • If you think someone got in without permission, tell us at contact@getyudo.com right away.
  • Use rules. Don't use Yudo to:
    • break the law or anyone's rights;
    • try to get into another business's information or into Yudo's systems, or send malware;
    • copy, resell, or reverse-engineer Yudo, except where the law allows it;
    • overload Yudo, or read it with automated tools other than the ones Yudo provides;
    • get around billing or limits;
    • build a competing product, or train an AI model, with Yudo or what it produces;
    • upload information you don't have the right to share.
  • Other services' terms. When you use Yudo with Square, Clover, Google, Stripe, a supplier's website or your phone's data plan, follow their terms too. Yudo isn't responsible for them, and a connection can stop working when they change.
  • Trade rules. You confirm that you aren't located in a country under a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you aren't on any U.S. government list of prohibited or restricted parties. Don't use Yudo from, or for, such places or parties.

Price and billing

  • Yudo doesn't charge yet. Before paid plans start, we'll tell every business at least 30 days ahead, by email and in the app. Nothing is charged until you add a card and agree to the price.
  • When paid plans start, Stripe will process payments under its own terms.
  • Promotion and activation codes work as described where you got them. They can't be exchanged for cash.
  • Prices don't include taxes. Where tax applies, it's added.
  • We'll tell you at least 30 days before a price change applies to you, by email or on the dashboard.

Cancelling and missed payments

  • Once paid plans start, you'll be able to cancel at any time, and Yudo will keep working until the end of the period you've paid for.
  • Fees aren't refunded, including for part of a month, except where the law requires.
  • If a payment can't be collected, we'll tell the owners. Amounts already due are still owed.

Your information

  • It's yours. Your business's information belongs to your business. Yudo claims no ownership of it.
  • What you let Yudo do with it. You give Yudo a worldwide, non-exclusive, royalty-free permission to host, store, copy, process and display your business's information, and to have our service providers (including our AI providers) process it.
    • Only to provide, secure and improve Yudo, and to make combined figures that never identify your business, as the privacy policy describes.
    • It lasts while you use Yudo, and afterwards for as long as we keep the information under the privacy policy.
  • Your responsibility. You confirm you have the right to put in what you upload, including information about your team, and that it's lawful.
  • Confidentiality.
    • We keep your business's information confidential and use it only as these terms and the privacy policy allow.
    • You keep confidential anything non-public we share with you, such as a feature not yet released or a special price.
    • This doesn't cover information that is public, that the other side already had or developed independently, or that the law requires to be disclosed.
  • Feedback. If you send us ideas or suggestions, we may use them freely, with no obligation to you.
  • After you leave.
    • If your business stops using Yudo, we keep its information so it can come back.
    • You can delete your account at any time in Settings, on the dashboard or in the app. If you're a primary owner, each business you own closes with it, unless you hand it to a co-owner. The deletion becomes permanent 30 days later: getyudo.com/delete-account.
    • Once paid plans have started, if a business has had no subscription for 12 months, we may delete its information after telling the owners by email at least 30 days before.

Software

  • Your license. While you have access, Yudo gives you a non-exclusive, non-transferable, revocable license to use the Yudo app and dashboard for your business's own operations.
  • What stays Yudo's. Yudo owns the software, its design, and the names and logos "Yudo" and the Yudo chef. Don't remove our notices. Open-source parts are covered by their own licenses.
  • Updates. The app updates itself over the internet. Some updates are required to keep using Yudo.
  • AI and accuracy.
    • Yudo uses AI and estimates. Costs, product matches, what it reads from receipts, invoices, menus and files, suggested order amounts, drafts and answers can be wrong. Check what matters before relying on it.
    • Yudo is not accounting, tax, legal or food-safety advice.
    • The assistant acts for you. What it does with your approval, or within the autonomy level the owner sets, counts as done by the person who asked.
    • Anything Yudo posts publicly for you, such as a review reply or your Google listing's hours, is posted only after someone on your team approves it, or after an owner sets the assistant to do it without asking. You're responsible for it.
  • Beta features. Features marked beta may change or stop, and are provided as they are.

The iPhone and Android apps

  • The iPhone app: Apple's standard license agreement for App Store apps (apple.com/legal/internet-services/itunes/dev/stdeula) covers the app itself. These terms cover your use of Yudo, the service. Apple isn't a party to these terms and isn't responsible for Yudo.
  • If you got the Yudo app from Google Play: Google isn't a party to these terms and isn't responsible for the Yudo app.

In case of problems

  • Taking action.
    • If you break these terms or the law, or put others or Yudo at risk, we may suspend or end access to all or part of Yudo.
    • We'll tell you first and give you a reasonable chance to fix it, unless that would cause harm, break the law or compromise security. Missed payments follow "Cancelling and missed payments".
    • To ask us to review a decision, email contact@getyudo.com.
  • Ending.
    • You can stop using Yudo at any time.
    • We may end these terms for any reason with 30 days' notice. If we do, we'll refund any amount you prepaid for time after the end.
    • When these terms end, access ends and amounts already due are still owed. The parts that by their nature should continue do: payment owed, your information, confidentiality, no warranties, limits on liability, indemnity, and settling disputes.
  • No warranties. As far as the law allows, Yudo is provided "as is", and we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.
  • Limits on liability.
    • As far as the law allows, neither side is liable for indirect, consequential, special or punitive damages, or for lost profits, revenue or data.
    • As far as the law allows, each side's total liability is limited to the greater of $100 or what your business paid Yudo in the 12 months before the event that led to the claim.
    • These limits don't apply to fraud, gross negligence or willful misconduct, to your payment obligations, or to your indemnity.
  • Indemnity. Your business will defend and cover Yudo against claims by others that come from what your business puts into Yudo, from its unlawful use of Yudo, or from its breaking these terms.
  • Events beyond control. Neither side is responsible for delays or failures caused by events beyond its reasonable control. This doesn't excuse payments owed.

Settling disputes

  • Talk to us first. Before going to court, send a written description of the problem to contact@getyudo.com, and we'll both try for 30 days to resolve it.
  • Law and courts. Oregon law governs these terms. Disputes go to the state or federal courts in Multnomah County, Oregon, and both sides agree to those courts.

About these terms

  • Changes.
    • If we change these terms in a way that matters, we'll tell you at least 30 days before, by email or on the dashboard. Changes for new features, or required by law or for security, may apply sooner.
    • Using Yudo after a change takes effect means you accept it. If you don't agree, cancel before then.
  • Notices. We send notices by email to the business's owners and on the dashboard, and they count as written notice. Send yours to contact@getyudo.com.
  • Transfers. You may not transfer these terms without our consent, except to someone who takes over your business, after telling us. We may transfer them to a successor in a merger or sale of Yudo.
  • The whole agreement. These terms, together with any price you agree to, are the whole agreement between you and Yudo about Yudo, and replace any earlier ones.
  • Other.
    • Legal rights you have that a contract can't take away still apply.
    • If part of these terms can't be enforced, the rest still applies.
    • Not enforcing a part of these terms right away doesn't give up our right to enforce it later.
    • No one else has rights under these terms.
  • Language. These terms are also offered in Spanish. If the two differ, the English version applies.
